These Terms & Conditions ("Terms") govern your access to and use of the TradesMatrix mobile application (the "App", "Service"). By downloading, accessing, or using TradesMatrix, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the App.

1. Acceptance of Terms

By creating an account or using any part of the App, you confirm that you have read, understood, and agree to these Terms. We may update these Terms from time to time; continued use after changes take effect constitutes your acceptance of the revised Terms.

2. Eligibility & Account Use

You must be at least 18 years old to use TradesMatrix.
You agree to provide accurate, current, and complete information when creating an account.
You are solely responsible for maintaining the confidentiality of your login credentials and device access (including biometric unlock), and for all activity that occurs under your account.
You must notify us promptly of any unauthorized use of your account.

3. Financial Disclaimer

TradesMatrix content is for educational and informational purposes only and does not constitute financial, investment, tax, or legal advice. Past performance does not guarantee future results. We do not provide stock market or financial recommendations of any kind.

TradesMatrix is a trade journaling, tracking, and analytics tool. We are not a registered investment advisor, broker-dealer, financial analyst, bank, securities broker, or financial planner. Any calculators, analytics, or statistics provided in the App are computed from data you enter and are provided "as is" for informational purposes only. All trading and investment decisions made using insights from the App are made at your own discretion and are your sole responsibility. Trading financial instruments involves substantial risk of loss.

4. Subscriptions & Billing

TradesMatrix offers Basic, Pro, and Elite subscription tiers with different features, as described in the App.
Paid subscriptions are billed and processed through Google Play Billing, and are subject to Google Play's terms and payment methods.
Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before renewal, through your Google Play account settings.
Prices may change with prior notice; changes apply to future billing cycles, not to periods already paid for.
Refunds are governed by Google Play's refund policy. We do not directly process refunds and cannot override Google Play's billing system.
Downgrading or cancelling a paid plan may result in loss of access to plan-gated features and analytics; your locally stored trade data is not deleted as a result of cancellation.

5. User Data & Content

You retain full ownership of the trade data, notes, and content you enter into the App.
Your trade journal data is stored locally on your device. You are responsible for backing up or exporting your data; we are not responsible for data lost due to app uninstallation, device loss, damage, or factory reset.
By using the App, you grant us a limited license to process your account data (not your local trade journal) solely to provide, maintain, and improve the Service, as described in our Privacy Policy.
You are solely responsible for the accuracy of any data you import or enter, including data imported from third-party brokers.

6. Intellectual Property

The App, including its design, features, calculators, logos, and underlying code, is the property of TradesMatrix and is protected by applicable intellectual property laws. Except for the limited right to use the App as intended, these Terms do not grant you any ownership rights in the App itself. You may not copy, modify, reverse-engineer, distribute, or create derivative works of the App without our prior written consent.

7. Prohibited Activities

You agree not to:

Use the App for any unlawful purpose or in violation of any applicable law
Attempt to hack, reverse-engineer, disrupt, or gain unauthorized access to the App or its systems
Circumvent or attempt to circumvent subscription/plan-gating mechanisms
Share, resell, or sublicense your account access to others
Upload malicious code or use the App to distribute false or misleading information

Violation of this section may result in immediate suspension or termination of your account without refund.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components, or that any analytics, calculators, or reports will be accurate or suitable for your specific circumstances.

9. Limitation of Liability

To the maximum extent permitted by law, TradesMatrix and its developers are not liable for:

Any financial losses or trading decisions made using the App or its analytics
Loss of data due to device issues, uninstallation, or failure to back up your local trade journal
Service interruptions, bugs, or downtime
Any indirect, incidental, special, or consequential damages arising from your use of the App

In all cases, our total liability to you for any claim arising from your use of the App shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim. Use the App entirely at your own risk.

10. Indemnification

You agree to indemnify and hold harmless TradesMatrix and its developers from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

11. Account Termination

You may stop using the App or delete your account at any time.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Service, with or without prior notice.
Upon termination, your right to use the App ceases immediately. Locally stored trade data on your device is not automatically affected unless you uninstall the App.

12. Modifications to the Service

We may modify, suspend, or discontinue any part of the App, including specific features or subscription tiers, at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the App or email prior to taking effect, and the "Effective Date" above will be updated. Continued use of the App after changes take effect constitutes your acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved informally by contacting us. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of India.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TradesMatrix regarding your use of the App, and supersede any prior agreements.
